Company Share Option Plan

The Company Share Options Plan (CSOP) is a share option scheme which can be used by companies which qualify for EMI but also those which do not because, for example, the company does not satisfy the trading or gross assets requirements of EMI.

It is discretionary in that options can be granted to only key employees but less flexible than EMI in that employees can only be granted an option over shares worth up to £30,000. CSOPs also have more stringent requirements in that certain aspects of scheme design are restricted by the legislation and the shares used can only be subject to certain permitted restrictions. In addition, in normal circumstances, exercise can only take place after three years have elapsed since the date of grant.
